Terms of Use
This Terms of Use ("Terms" or "Agreement") is for the visitor, users and members of quub. By using the quub website, software, or services, you accept and agree to be bound by the following terms and conditions as well as the Privacy Policy. This Agreement may be amended from time to time at quub's discretion and pursuant to applicable law without notice. Amended versions of this Agreement will be effective upon posting on the quub website. You are responsible for regularly reviewing these Terms so that you will be updated of any changes.
Membership Eligibility
You must be 13 years or older to use the quub service. By registering on quub, you represent and warrant that you are 13 years or older and that you have the capacity to understand, agree to and comply with the Terms of Service. You agree that the information you provide to quub during Member registration and, at all other times, will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up-to-date at all times. If you choose to cancel your account, the cancellation will be effective immediately.
Requirements
1. You acknowledge that in order to use the quub mobile application, you must have a compatible mobile phone. Please see www.quub.com for details.
2. The use of quub mobile application requires subscription to data transmission services. Please monitor your data usage carefully as quub will not be responsible if you exceed your data plan limit.
Account Ownership
When you register to be a member, you will be asked to provide a user name and password. You are responsible for all activities occurring under your user name and for keeping your password secure. Members may not have more than one active account.
Prohibited Content and Conduct
The following is a list of the Content and Conduct that is prohibited on quub. This list applies to any and all materials, including text, photograph, links, video and music you post on quub. quub reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including without limitation, removing the offending communication from quub and terminating the Membership of such violators. By accepting this Agreement, you agree NOT to:
1. Defame, abuse, harass, stalk, threaten or violate the rights of others.
2. Send, post, or make available pornographic, threatening embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate messages to other quub Members.
3. Use other Member's personal data for purposes other than establishing contact that is reasonably expected to be welcomed by such other Members.
4. Promote information that you know is false or misleading or promote illegal activities or conduct.
5. Creating Member accounts by automated means or under false or fraudulent pretenses.
6. Make unsolicited offers, advertisements, proposals, chain letters, or send junk mail to other Members.
7. Solicit passwords or personal identifying information for commercial or unlawful purpose from other Members.
8. Transmit any viruses, worms, defects, Trojan horses or other items of destructive nature.
9. Submit Content that infringe, misappropriate or violate the intellectual property, publicity, privacy or other proprietary rights of any part.
10. Interfere with another Member's use and enjoyment of quub.
11. Reformat or frame any portion of the web pages that are part of the quub service.
12. Intentionally or unintentionally violate any local, state, national, or international law.
13. Remove any proprietary notices from the quub software or any copies thereof.
14. Sell, license, sub-license, lease, rent, or grant rights in quub website, software, or services, to another person except with our explicit consent.
15. Reverse engineer, decompile, or disassemble the Software, except to the extent the foregoing restriction is expressly prohibited by applicable law.
quub reserves the right to determine whether any Content or Conduct violates the terms of this Agreement at its sole and absolute discretion. In the unlikely event that you are exposed to the above mentioned prohibited Content or Conduct, quub, nor any of our officers, directors, employees, shareholders, advisors, advertisers, or corporate partners will in any way be responsible for any damages related to any such exposure.
Intellectual Property Rights
Limited License to Use quub Software
You are granted a limited, non-exclusive, revocable, non-transferable license to use quub for personal use.
Content you create and your sensor data
What you create belongs to you. Any information, including sensor data, you submit, post, or display on or through quub is yours. By submitting information to quub, you grant quub an international, royalty-free, and non-exclusive license to copy, display, use, distribute, translate, edit, promote your content in any medium, and to attribute your content to you if we so choose. You can remove all content generated by you from our servers by deleting your account.
Content created by quub
All content created by quub and its partners, such as graphics, text, images, logos, articles, javascript code, HTML code, and other software, is property of quub.
Copyrighted material not created by quub
You may not post, modify, distribute, transmit, or reproduce in any way any copyrighted material, trademark, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.
Link to Third Party Sites
Links posted on quub by its Members are not under control of quub. In addition, contents such as text, graphics, pictures, designs, music, video, article, and information, originating from quub Members are not investigated, monitored or checked for accuracy or appropriateness by us. quub is not responsible for any Third Party Websites or Contents posted on quub. Inclusion of Third Party Site or any Third Party Content does not imply approval or endorsement by quub.
Member Disputes
You are solely responsible for your interaction with other Members on quub. We reserve the right, but is not obligated, to monitor or resolve disputes between you and other Members.
Privacy
Use of quub is also governed by our Privacy Policy
Disclaimer of Warranties
quub and its affiliates, licensors, partners, members, suppliers, employees, consultants and agents disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or contents displayed on quub. quub assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. quub takes no responsibility for third party advertisements which are posted on quub, nor does it take any responsibility for the goods or services provided by its advertisers. quub is not responsible for the conduct, whether online or offline, of any User of the quub. quub is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, mobile phones, servers or providers, computer equipment, software, failure of e-mail or players on account of technical problems or traffic congestion on the internet or at any web site or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. Your use of quub is at your sole risk. The service is provided on an "as is" and "as available" basis.
Indemnity
You agree to indemnify and hold quub, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, that arise from your use or misuse of the Site and the Services. Notwithstanding the foregoing, quub retains the exclusive right to settle, compromise and pay any and all claims, demands, proceedings, suits, actions or causes of actions which are brought against quub herein under the terms and provisions of this Section and in no event shall you settle any such claim without quub’s prior written approval.
